Use a standalone data room to organize business documents without creating a public listing. This is ideal when you want to prepare months in advance, keep a potential sale confidential, or structure a client’s documents in a secure, private space.
Go to the top-right corner of your screen and click Create Data Room.

You will see two options:
Select Standalone Data Room to create a private room without any public listing or market presence.

This will be used purely as a secure space for business documents.
You will now see a form with one required field, but you should complete all relevant details to get the best results.

Enter the details of the data room.

Fill in the form with:
The Registered business name is especially important. This is the exact name on the company documents and is what the AI uses to compare every uploaded document. It helps the data room identify documents that belong to a different business and flag them.
The registration number and website provide additional ways to confirm that each document genuinely belongs to the business.
After completing the form, click Create Data Room to finalize setup.

The new standalone data room will now appear in your list of rooms.
Click to open your newly created data room.

Inside, you will see that the folders are already created for you (e.g., Corporate, Financial, Legal, and others). You do not need to build a folder structure manually—the room comes pre-configured with the structure buyers typically expect.
At the top, you will see the Readiness tab. Initially, it is empty because no documents have been added yet. As you add key documents, your readiness status will increase. There is intentionally no success popup for this; the focus is on the readiness indicators themselves.

In the top right of the interface, click on “Create Data Room.” You will see two choices: one to link to a listing (the normal path when you are selling) and one for a standalone data room. Select “Standalone Data Room” to proceed without creating or linking a listing.
Q3. What is the difference between linking to a listing and creating a standalone data room?
Linking to a listing creates a listing and its data room together, which is the usual process when something is being actively sold and shown publicly. A standalone data room has no listing, no public space, and nothing on the market; it is purely a private space for one business’s documents.
Q4. Are there any required fields when creating a standalone data room?
Yes. At least one field is required, and you must enter details of the data room in the form. This includes information such as the name of the data room, a description, and business details so the system can identify the business accurately.

You should provide the name of the data room, a short description of what the data room should contain, the country where the business belongs, the business type, the registered business name, the registration number, and the website.

Q9. Do I get a success message when the data room is created?
No, there is no success message on purpose. Instead, you simply see the data room appear in your list, indicating that it has been created.

When you open the newly created data room, standard folders are already there, including Corporate, Financial, Legals, and others. You do not build this folder structure by hand; it comes preconfigured based on what buyers actually ask for.
